The First Press website (“Site”) is provided by FIRST PRESS PRINT, INC. (“First Press”) as a service to our online customers. First Press, together with its affiliates, are collectively referred to as "First Press" or "we."

Please carefully review the following Terms and Conditions governing your use of the First Press Site. Your use of the Site constitutes your agreement ("Agreement") to follow and be bound by these Terms and Conditions. If you violate these Terms and Conditions, we reserve the right to deny you access to the Site and pursue any and all available legal remedies.

CONDITIONS OF USE

1. Warranty and Refund Policy

If you discover a defect in your online printing order that is our responsibility, we will reprint the order at no additional cost to you. To receive a replacement, please notify us within 30 days of receiving the order and provide verification of the issue. We reserve the right to deny replacements if notified more than 30 days after delivery. We are not responsible for errors beyond our control, including those caused by you, third-party delays, or inherent flaws in the electronic-image-to-print process. If we determine that the defect was our fault, we will reprint the order with expedited turnaround and shipping. If a replacement will not achieve a satisfactory outcome, we may choose to refund all or part of the original order cost. If your job was printed as ordered but you are still unsatisfied, you may return your order for a full refund, though return shipping will be your responsibility.

2. Price and Payment

All prices and amounts listed on the Site are in U.S. Dollars (USD), unless otherwise noted. By submitting an order for processing, you agree that we may charge your credit card on file for all applicable charges, taxes, and shipping/handling fees. Full payment is required before we process your order. Once you approve a proof, we will begin processing your order. No changes to artwork, job characteristics, or turnaround time are allowed after proof approval. We are not responsible for delays caused by your failure or delay in approving a proof. We strive for accuracy but reserve the right to correct any errors in pricing, promotions, or descriptions, and to correct, cancel, or refuse any order based on incorrect pricing or inaccurate application of promotional codes.

3. Proofs, Approvals, and Color Accuracy

After you upload your print file, we will provide an online electronic proof for your approval. Please note that an electronic proof is not a perfect color reproduction of your printed piece. Electronic proofs cannot show color changes from the conversion of RGB or Pantone spot colors to CMYK and may not reveal transparency or overprint issues. For color-critical work, we recommend ordering a hard-copy proof for an additional fee. The time required to produce and deliver a hard-copy proof varies depending on the product. We will not proceed with printing until you approve the proof. Delays in proof approval may result in delays in your order. First Press will strive to reproduce colors as closely as possible to your submitted files. However, due to differences in computer screens and the CMYK printing process, some color variations may occur. By placing an order with First Press, you agree to these limitations. If color accuracy is critical, we strongly advise ordering a hard-copy proof.

4. Printing Turnaround Time

Printing turnaround time begins once you approve your proof. First Press is not responsible for delays caused by your failure to approve a proof. Turnaround time begins at 9:00 AM Eastern Time on the first business day following proof approval. For example, if you approve a proof at 8:50 AM Eastern, the job will enter production that same day. If approved at 9:10 AM, production will start the next business day. Please note that First Press is closed on weekends and holidays, which are not included in the turnaround time calculation. Our turnaround guarantee is fulfilled when we deliver your order to a common carrier. We do not guarantee delivery times for ground shipping orders and are not responsible for carrier delays. If we fail to meet a guaranteed deadline, you will receive a pro-rated refund of any rush charges or a free delivery service upgrade. Cancellation of an order based on turnaround time is allowed only if you indicate that the order must be shipped by the selected time in the order notes.

5. Errors

First Press is not responsible for any of the following errors in a final product:

• Spelling, grammar, or punctuation errors
• Incorrect graphics or design elements
• Low-resolution images or photographs
• Color transparency issues
• Damaged fonts
• Overprints (printing one color on top of another)

Additionally, we are not responsible for improper file setup, including:

• Bleeds
• Crop marks
• Finished product size
• Die lines
• Folds, scores, or perforations
• Page alignment or orientation

First Press does not make changes to design elements in your files without your approval.

6. Artwork Ownership

As an online printer, our prepress department reviews all submitted artwork files before printing. However, you are responsible for the accuracy of your print-ready files. Please proofread all files carefully before submitting them to First Press. By submitting artwork to First Press, you certify that you have the legal right to use the images in your files and that they do not infringe on the rights of others. If you do not own the copyright, you represent and warrant that you have permission to use the images from the copyright owner. If your submitted artwork violates any intellectual property rights, you will indemnify, defend, and hold First Press harmless from any resulting claims. First Press reserves the right to restrict content that may be sensitive to some of our customers or employees. If we restrict something you submit, it is not a judgment of your art but a measure to ensure sensitivity to our audience.

7. Sales Taxes

Sales tax is charged on orders shipped to applicable Canadian provinces or U.S. states. If you are a tax-exempt entity, you must provide a tax exemption certificate before processing your order.

8. Shipping and Risk of Loss

Shipping transit times are based on business days and do not include weekends, holidays, or the day of pickup. First Press is not responsible for delays caused by carriers, equipment breakdowns, weather, or other unforeseen events. Once we deliver your order to the carrier, all risk of loss or damage passes to you. We do not ship to P.O. Boxes or APO/FPO addresses.

9. Mailing Services

Your mailing list(s) are your exclusive property. We will not use your mailing list for any purpose other than fulfilling your order. We do not resell or market any customer's mailing list. Mailing service delivery dates are estimates, not guarantees. First Press’s responsibility ends when the job is delivered to the post office. We are not responsible for USPS performance failures or delivery delays. If we cause an error in your mailing services, we will correct and re-mail the job as soon as possible. Our liability for mailing service errors is limited to the job cost.

10. First Press Property and Work Product

All content and software on the First Press Site, including text, graphics, logos, images, and data compilations, are the exclusive property of First Press and protected by U.S. and international property and copyright laws. Materials developed or created in producing your printed product are the property of First Press. We will not resell or use your printed products for advertising without your consent. However, we may distribute free samples of any printed product. If you submit content to First Press, you grant us a nonexclusive, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, and display such content globally. You represent and warrant that you control all rights to the content and that its use does not violate this policy. You will indemnify First Press for any claims resulting from content you supply. All comments, ideas, and suggestions you submit to First Press become our exclusive property. You are not entitled to compensation for any ideas or suggestions that we may use.

11. Your Account

You are responsible for maintaining the confidentiality of your First Press account and password. You agree to accept responsibility for all activities under your account. First Press reserves the right to refuse service, terminate accounts, or cancel orders at our discretion.

12. Code of Conduct

You may use the Site only for legitimate purposes, such as purchasing products or services offered. Unauthorized use, including illegal, speculative, or fraudulent activities, is prohibited. You agree not to compromise the Site's security, modify Site content, or interfere with third-party rights.

13. Privacy

By using the First Press Site and signing into a First Press account, you consent to our use of your personal information. We do not sell or disclose your identifying active data to unrelated third parties. We collect passive data on your use of the Site to improve your experience.

14. Limited License

If you create an account with First Press, we grant you a limited, non-transferable license to use the Site. This license does not include the resale of any First Press content or the use of data mining tools. All rights not granted are retained by First Press.

15. Indemnity

You agree to indemnify, defend, and hold First Press harmless from any claims, losses, or damages arising from your use or misuse of the Site.

16. Copyright Complaints

If you believe your work has been infringed on the First Press Site, please follow the requirements below and submit your complaint to [email protected]. Your complaint must include specific information, such as your contact details, evidence of copyright ownership, and a description of the infringement.

17. Links to Third-Party Websites

Links to third-party websites are provided for convenience. First Press does not endorse or control these sites and is not responsible for their content or availability. GENERAL TERMS AND CONDITIONS

18. Copyright Notice

All content on the First Press Site, including software, images, and data compilations, is the intellectual property of First Press and protected by U.S. and international laws.

19. Trademarks

First Press trademarks may not be used without prior written consent. The use of First Press trademarks as a "hot" link on other websites is prohibited unless authorized.

20. Use of First Press Software

You may use First Press software solely to enable your use of the Site. You may not modify, distribute, or reverse engineer the software. First Press may terminate your right to use the software at any time.

21. Disclaimer of Warranties

FIRST PRESS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE OR ITS CONTENT. THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH NO GUARANTEE OF FUNCTION OR ACCURACY. FIRST PRESS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

22. General Limitation of Liability

FIRST PRESS SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM THE USE OF THE SITE, INCLUDING INCIDENTAL OR CONSEQUENTIAL DAMAGES. LIABILITY IS LIMITED TO THE AMOUNT PAID FOR PRODUCTS GIVING RISE TO THE LIABILITY.

23. Entire Agreement/Modification/No Waiver

These Terms and Conditions constitute the entire agreement between you and First Press. We reserve the right to amend these terms at any time. No conduct by First Press shall be deemed a waiver of our legal rights.

24. Enforcement/Choice of Law/Venue

Any disputes related to this Agreement or the Site are governed by the laws of the Province of Quebec, without regard to conflict of laws provisions. You agree that Quebec courts shall have exclusive jurisdiction over any dispute.
